These Terms & Conditions (“Terms”) govern your access to and use of the PhoenixTrading software platform, website and related services (collectively, the “Service”), operated by PhoenixTrading (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

PhoenixTrading is a software tool that provides charting, analytics, order-routing and automation utilities which connect to third-party brokers you authorise. The Service is software only. It does not provide investment, financial, legal or tax advice, and it is not a SEBI-registered investment adviser, research analyst, broker or portfolio manager.

2. Eligibility & accounts

  • You must be at least 18 years old and legally able to enter into a binding contract.
  • You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
  • You are responsible for all activity that occurs under your account.
  • You must notify us promptly of any unauthorised use of your account.

3. Broker connections & your responsibility for trades

The Service can place, modify and cancel orders with brokers you connect (such as Fyers, Zerodha Kite and Dhan). You acknowledge that:

  • You alone are responsible for every order placed through your account, whether placed manually, by drag-to-trade, by keyboard shortcut, by voice, or by any automated feature you enable.
  • Automated features (for example trailing stops, exit levels, partial-exit ladders and trade guards) are tools that act on parameters you configure; you are responsible for configuring and supervising them.
  • We are not your broker, do not custody your funds or securities, and do not guarantee execution, fills, latency or price.
  • Your relationship with your broker is governed by that broker’s own terms.

4. No investment advice

Nothing in the Service constitutes a recommendation, solicitation or advice to buy, sell or hold any security or to adopt any trading strategy. Any data, indicators, pivots, levels, alerts, simulations or examples are provided for informational and illustrative purposes only. You are solely responsible for your own trading decisions.

5. Plans, fees & payment

  • Certain features require a paid plan (e.g. Pro or Premium). Plan details and current pricing are provided on request or on our pricing page.
  • Brokerage, exchange charges, statutory levies and taxes are charged by your broker and are not part of any PhoenixTrading fee.
  • Unless required by law, fees already paid are non-refundable. We may change pricing or plan features with reasonable notice.

6. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) reverse-engineer, copy, resell or sublicense the Service except as permitted by law; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorised access to any system or data; or (e) use the Service to manipulate markets or violate applicable securities laws or exchange rules.

7. Availability & changes

We aim for high availability but do not warrant that the Service will be uninterrupted, error-free, or free of delays. Market data may be delayed, incomplete or inaccurate. We may modify, suspend or discontinue any part of the Service at any time.

8. Intellectual property

The Service, including its software, design, and content, is owned by PhoenixTrading and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal trading, subject to these Terms.

9. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. Trading in securities and derivatives carries a high level of risk and may not be suitable for all investors. Please read our Risk Disclaimer.

10. Limitation of liability

To the maximum extent permitted by law, PhoenixTrading and its team shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, trading losses, data or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total aggregate liability shall not exceed the fees you paid to us in the three (3) months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold harmless PhoenixTrading from any claims, losses, liabilities and expenses arising out of your use of the Service, your trades, or your breach of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or where required by law. Provisions that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of India, and the courts at the place of our principal operations shall have exclusive jurisdiction, subject to applicable law.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
